Assemble It LLC - Terms of Service

Effective Date: February 19, 2025

These Terms of Service ("Agreement") constitute a legally binding contract between you and Assemble It, LLC ("Assemble It," "we," "us," or "our") governing your use of our website and technology platform (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree, you may not use the Platform.


Platform Description

Assemble It provides a platform where customers ("Customers") seeking assistance with product assembly, installation, delivery, or related services can be matched with independent service providers ("Service Providers"). Together, Customers and Service Providers are "Users."


Third-Party Applications

The Platform may incorporate third-party applications or services, each governed by their own terms of service and privacy policies.


User Eligibility

Users must be at least 18 years old and capable of forming legally binding agreements.


Modifications to the Agreement

We may update this Agreement or linked policies at any time. Continued use of the Platform after changes are posted constitutes your acceptance.


Charges and Payments

Dispute Window:

You agree to raise any billing or service-related disputes within thirty (30) days.

Payment Terms:

  • Charged upon completion of your service appointment.

  • Full fee applies if project cannot be completed due to reasons outside our control.

  • No cash payments accepted.

  • Authorization Hold: May be applied before service.

  • Non-Refundable Policy: All charges are final.

  • Coupons and Discounts: Subject to terms.


Service Fees and Changes

  • Prices valid until two days before your appointment.

  • No removal of services on the day of service.

  • Day-of changes incur a $25 fee.

  • IF we are on site and must come back a different time to complete it due to damaged or missing parts, or ANY changes that happen that our service provider can no longer complete the job that day. you will be charged up a minimum of $150 up to $195 known as a "Trip Fee' This is for the cost of an unplanned rescheduling, and that the void in the Service Providers scheduling. It is YOUR responsibility to check your unit andor to make certain there are no damaged parts BEFORE our team arrives. Fees apply

Other Charges and Fees

Cancellations and No-Show Charges

May apply if customer is not present or cancels within the window.

Applicable Fees and Taxes

Additional fees or taxes may apply.

Gratuities

Tips are voluntary and retained fully by the Service Provider.


Refund, Chargeback & Cancellation Policy

Refund Policy

Payments are processed after service. No refunds under these terms.

Cancellation Policy

  • 72+ hours notice: No fee

  • < 72 hours: $195 minimum or 30%

  • Onsite Cancellation: May be up to 100% of total


Intellectual Property

All intellectual property rights are owned by Assemble It. This includes all content, logos, trademarks, and suggestions provided to Assemble It.


Disclaimers

We make no guarantees on the quality, safety, or outcome of services. Use is at your own risk.

 If there is no mention in the selection or order of the assembly and installation services, you the customer assume that the unit will be within 15 feet or less of the assembly area or charges may apply. We reserve this right for every service that we have.


Communications Policy

By using the Platform, you consent to receive communications via email, text, phone, and push notifications.


User Information and Content

Definition of “Your Information”

Includes any data, content, feedback, or materials you submit.

Use and License

You grant Assemble It a license to use and reproduce your Information.

Your Responsibilities

  • Provide accurate and current data

  • Accept that others rely on your information


Promotions and Discounts

Subject to eligibility, terms, and cancellation by Assemble It at its discretion.


Restricted Activities

You agree not to:

  • Harass, impersonate, violate laws

  • Introduce malware or interfere with the platform

  • Sell accounts or commit fraud

  • Engage in abuse, discrimination, or reverse engineering

Indemnity
You will forever release, defend, indemnify, and hold Assemble It and our affiliates, subsidiaries, parents, successors and assigns, and each of our and their respective officers, directors, employees, attorneys, agents, or shareholders harmless from any claims, actions, suits, losses, costs, liabilities and expenses (including reasonable attorneys’ fees and costs) relating to or arising out of your use of the Assemble It Platform and participation in the Services, including:
(1) your breach of this Agreement or the documents it incorporates by reference;
(2) your violation of any law or the rights of a third party, including other Users, as a result of your own interaction with such third party;
(3) any allegation that any materials that you submit to us or transmit through the Assemble It Platform or to us infringe or otherwise violate the copyright, trademark, trade secret or other intellectual property or other rights of any third party;
(4) your ownership, use or operation of any personal property used in or related to the Services, including your provision or receipt of Services; and/or
(5) any other activities in connection with the Services. This indemnity shall be applicable without regard to the negligence of any party, including any indemnified person.


Limitation of Liability
IN NO EVENT WILL Assemble It, INCLUDING OUR AFFILIATES, SUBSIDIARIES, PARENTS, SUCCESSORS AND ASSIGNS, AND EACH OF OUR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SHAREHOLDERS (COLLECTIVELY “Assemble It” FOR PURPOSES OF THIS SECTION), BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, OR INDIRECT DAMAGES (INCLUDING DAMAGES FOR DELETION, CORRUPTION, LOSS OF DATA, LOSS OF PROGRAMS, FAILURE TO STORE ANY INFORMATION OR OTHER CONTENT MAINTAINED OR TRANSMITTED BY THE Assemble It PLATFORM, SERVICE INTERRUPTIONS, OR FOR THE COST OF PROCUREMENT OF SUBSTITUTE SERVICES) ARISING OUT OF OR IN CONNECTION WITH THE Assemble It PLATFORM, THE SERVICES, OR THIS AGREEMENT, HOWEVER ARISING, INCLUDING NEGLIGENCE, EVEN IF WE OR OUR AGENTS OR REPRESENTATIVES KNOW OR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The Assemble It Platform may be used by you to request and schedule services with third party providers, but you agree that Assemble It has no responsibility or liability to you related to any services provided to you by third party providers other than as expressly set forth in this Agreement.
CERTAIN JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.


Term and Termination
This Agreement is effective upon your use of the Assemble It Platform. This Agreement may be terminated:
a) by User, without cause, upon seven (7) days’ prior written notice to Assemble It; or
b) by either Party immediately, without notice, upon the other Party’s material breach of any provision of this Agreement.
In addition, Assemble It may terminate this Agreement or deactivate your User account immediately in the event:
(1) you no longer qualify to provide Services, or fail to comply with rule, permit, ordinance or regulation;
(2) you fall below Assemble It’s star rating or cancellation threshold;
(3) Assemble It has the good faith belief that such action is necessary to protect the safety of the Assemble It community or third parties, provided that in the event of a deactivation pursuant to (1)-(3) above, you will be given notice of the potential or actual deactivation and an opportunity to attempt to cure the issue to Assemble It's reasonable satisfaction prior to Assemble It permanently terminating the Agreement.

For all other breaches of this Agreement, you will be provided notice and an opportunity to cure the breach. If the breach is cured in a timely manner and to Assemble It’s satisfaction, this Agreement will not be permanently terminated.

All provisions that by their nature should survive the termination or expiration of this Agreement shall survive any termination or expiration of this Agreement.


Dispute Resolution and Venue
This Agreement shall be construed and enforced in accordance with the laws of Florida, excluding choice of law rules. Jurisdiction and Venue for any action shall be exclusively in the state or federal courts serving Sarasota County Florida, to which jurisdiction and venue the parties irrevocably consent.
The parties exclude the application of the United Nations Convention on Contracts for the International Sale of Goods.


Confidentiality
You agree not to use any technical, financial, strategic and other proprietary and confidential information relating to Assemble It’s business, operations and properties, software (including the Assemble It website), information about a User made available to you in connection with such User’s use of the Assemble It Platform, which may include the User’s name, location, contact information and photo (“Confidential Information”) disclosed to you by Assemble It for your own use or for any purpose other than as contemplated herein.

You shall not disclose or permit disclosure of any Confidential Information to third parties. You agree to take all necessary measures to protect the secrecy of and avoid disclosure or use of Confidential Information of Assemble It in order to prevent it from falling into the public domain.

Notwithstanding the above, you shall not have liability to Assemble It with regard to any Confidential Information which you can prove:

  • was in the public domain at the time it was disclosed by Assemble It or has entered the public domain through no fault of yours;

  • was known to you, without restriction, at the time of disclosure, as demonstrated by files in existence at the time of disclosure;

  • is disclosed with the prior written approval of Assemble It;

  • becomes known to you, without restriction, from a source other than Assemble It without breach of this Agreement by you and otherwise not in violation of Assemble It’s rights;

  • or is disclosed pursuant to the order or requirement of a court, administrative agency, or other governmental body; provided, however, that you shall provide prompt notice of such court order or requirement to Assemble It to enable Assemble It to seek a protective order or otherwise prevent or restrict such disclosure.

Notwithstanding the generality of the foregoing, You agree not to reverse engineer, disassemble, decompile, or otherwise modify or disclose any Assemble It software or other tangible or intangible property which contain Confidential Information.

Additional Limitations of Liability

Damage Waiver & Limitation of Liability

By hiring Assemble It, the client agrees to release and hold harmless Assemble It, its employees, agents, and subcontractors from any and all liability for damage to the unit, product, or structure being assembled or installed—even if such damage results from the actions, errors, or omissions of our team during service.

Assemble It shall not be responsible for the cost of replacement parts, repairs, or reimbursement for any damage incurred to the unit or its components, regardless of fault. The client assumes all risks associated with the assembly or installation process and agrees that any damage claims must be addressed directly with the manufacturer or retailer.

Limitation of Liability for Damages

While Assemble It takes every precaution to perform services with care and professionalism, we are not responsible for any incidental damage that may occur to the product, structure, or property during assembly or installation. By engaging our services, you acknowledge and accept that Assemble It is not liable for the cost of any replacement parts, repairs, or reimbursement related to such damage—whether caused accidentally or during the normal course of service.

It is the client’s responsibility to ensure that all components are present, undamaged, and suitable for assembly prior to our arrival. Any replacements or costs associated with damaged items must be handled directly with the manufacturer or retailer.

Damage to Unit Disclaimer

Assemble It shall not be held liable for any pre-existing damage, structural weaknesses, or malfunctions of any product, unit, or structure we are requested to assemble, install, or service. We perform services based on the condition of the items as presented at the time of service. Any damage occurring as a result of manufacturer defects, improper handling or storage prior to our arrival, or issues inherent to the product design or quality is not the responsibility of Assemble It.

Clients are encouraged to inspect all items thoroughly before the scheduled service. By proceeding with our services, you acknowledge and agree that Assemble It is not liable for damages related to the unit’s integrity, parts, or performance.


Service Provider’s Relationship with Assemble It

Independent Contractor Status
The relationship between you and Assemble It is strictly that of independent contractors.
This Agreement does not create an employment relationship, joint venture, franchise, partnership, or agency relationship between you and Assemble It.
You are not an employee of Assemble It, and you will not be entitled to employee benefits (e.g., health insurance, paid leave, etc.).

Authority and Representation
You have no authority to bind Assemble It in any way or to hold yourself out as an employee or representative of Assemble It.
You acknowledge that you are responsible for compliance with all applicable taxes, employment-related regulations, and self-employment obligations.

Control over Services
Assemble It does not control your performance or how you provide the Services.
You retain the sole right to determine when, where, and for how long you will use the Assemble It Platform to provide Services.
You may accept or decline a Customer’s request for Services, or cancel an accepted request according to Assemble It’s cancellation policies.

Branding and Appearance
With the exception of any legal signage or permit/license requirements, Assemble It does not require you to display its logos, colors, or uniforms while performing Services.

Dispute Resolution
You must dispute any financial issues or payouts within 30 days of the service completion date.

Insurance
As a Service Provider, you are required to obtain and maintain liability insurance coverage at your own expense, as per Assemble It’s requirements. You must provide proof of coverage when requested.


Other Services

Third-Party Services
The Assemble It Platform may allow you to connect with third-party providers for additional goods or services (referred to as Other Services). You understand that:

  • Other Services are governed by the terms and pricing set by the third-party provider.

  • Assemble It is not liable for the actions, omissions, or issues related to Other Services, and we do not monitor or verify these services for accuracy or appropriateness.

Authorization to Charge
If you choose to purchase Other Services, you authorize Assemble It to charge your payment method according to the terms set by the third-party provider.


Additional Terms

Specific Terms for Certain Services
Some services may have additional Terms that will be presented to the Customer during the service request process.
By requesting such services, the Customer agrees to these additional terms.

Service Provider Agreement
Service Providers are bound by additional terms as outlined in the separate Service Provider Agreement.


Severability and Miscellaneous

Severability
If any provision of this Agreement is found to be invalid or non-binding, the rest of the Agreement remains valid.
The parties will replace the invalid provision with one that is legally enforceable and achieves the same purpose.

Assignment
Assemble It may assign this Agreement at any time, with or without notice.

Notices
Any notices to Assemble It must be sent via certified mail to:

Notices to you will be delivered through the Assemble It Platform or to the email/physical address you provided upon registration.

Headings and Interpretation
Headings are for convenience only and do not affect the meaning or interpretation of the provisions in this Agreement.
The terms “include,” “includes,” and “including” are followed by the words “without limitation.”

Failure to Act
A failure by either party to act on a breach by the other party does not waive their right to act on future breaches.

Entire Agreement
This Agreement supersedes all prior agreements and understandings between the parties regarding its subject matter.
